CYCASTLE LICENSE AGREEMENT

Please carefully read the rights and obligations specified in this license agreement. During installation, you will be presented with whether you accept these terms. If you do not accept, the software will not be installed on your computer. Installing the program on your computer signifies your acceptance of the terms of this agreement. This agreement is a legal contract between CyCastle (SOFTWARE) and the END USER (individual or legal entity) represented by Siberkale Teknoloji ve Yazılım A.Ş. Installing the SOFTWARE implies your acceptance of the terms of this agreement. If you do not accept the agreement, you cannot install or use the SOFTWARE.

We reserve the right to change or update the license agreement. We will announce any changes or updates on our website, so we recommend checking our site regülerle for updates. The ‘Last Update’ date will be displayed on our site, indicating when this policy was last changed.

What Personal Data Do We Collect?

Under this Policy, we may collect information about you, including Personal Data. Personal Data refers to information that identifies, is related to, or can reasonably be linked to an individual or household.

I – RIGHTS AND OBLIGATIONS OF END USER:

  1. The END USER agrees, undertakes, and declares to use the infrastructure services necessary for the operation of the SOFTWARE (Example: Internet, all hardware products belong to the company that will use the software) and acknowledges and accepts that the right to terminate this contract will arise due to damages and losses that may occur in the product subject to the contract as a result of violating the provision stated above.
  2. The END USER undertakes and declares that the SOFTWARE will be installed on only one server, and in case of installation on multiple servers or computers, the license belonging to the END USER will be blocked, and the SOFTWARE will not operate.
  3. The END USER acknowledges and accepts that in case of a change in the contact information shared when creating the license record for the SOFTWARE, they will contact Cycastle.
  4. The END USER acknowledges and accepts that if they want to use the SOFTWARE on another server, they must contact Cycastle for the software transfer process.
  5. The END USER acknowledges and accepts that they check the current working status of the SOFTWARE, are aware of potential issues arising from using an older version, and agree to use the latest version.
  6. The END USER acknowledges and accepts that they are aware of the conditions necessary for the operation of the SOFTWARE (such as monitoring internal network traffic, using the device for running the SOFTWARE for license registration) and agrees to comply.
  7. The END USER:
    A. Agrees not to reproduce or use the SOFTWARE and documentation beyond what is allowed by this License Agreement, not to convert the SOFTWARE into source code, and not to perform recompilation without the written approval of Cycastle,

    B. Agrees not to distribute, lend, lease, sell, or disclose the SOFTWARE to another person without the written consent of Cycastle,

    C. Accepts, declares, and undertakes not to modify or adapt the SOFTWARE and documentation, or create derivative works inspired by the SOFTWARE and documentation.

II – RIGHTS AND OBLIGATIONS OF CyCastle:

  1. If the END USER violates the provisions of Section I, clauses 1-2-3-4-5-6-7, Cycastle is entitled to exercise all legal remedies and rights without the need for any warning.
  2. Cycastle, upon the request of the END USER and at its own discretion, may provide technical support to the END USER. The intellectual property rights of the technical material and information acquired and developed during the support service belong to Cycastle, and the END USER cannot make any claims in this regard.
  3. The license status of the SOFTWARE is checked by the license servers determined by Cycastle for customer information and license information when an internet connection is established on your computer.

III – WARRANTY TERMS:

  1. Cycastle shall not be held responsible for information losses arising from operating system and hardware failures, network connection errors, viruses, and user errors.
  2. The financial liability of Cycastle is limited to the license fee paid by the end user at the time of SOFTWARE purchase.
  3. Cycastle does its utmost to ensure the proper functioning of the SOFTWARE. Cycastle does not claim or guarantee that the SOFTWARE it develops is flawless, perfect, and will completely meet the user’s specific requests.
  4. The SOFTWARE should be used with suitable equipment and qualified personnel, following the usage guide. Cycastle recommends that the END USER receive training from Cycastle officials until competence is confirmed, and Cycastle and Cycastle Solution Partners are not responsible for damages or risks arising from the SOFTWARE not being used by appropriate equipment and qualified personnel, misuse according to the usage guide, or lack of adequate training from Cycastle officials.
  5. Cycastle or Solution Partners are exempt from liability for any special, financial, indirect, direct, or consequential damages arising from or related to the use or inability to use the SOFTWARE, even if they were informed in advance of the possibility of such damages, within the framework permitted by relevant laws, whether due to contract terms or intent, negligence, or liability.
  6. Cycastle reserves the right to make changes to the SOFTWARE and documentation. If desired, the user can take advantage of this new version within the rules specified in Cycastle’s License System. Cycastle does not guarantee that data entered with the old version will match the new version.
  7. The rights to process, develop, reproduce, represent, and transmit the SOFTWARE and documentation, and if any, all copies made by you, belong exclusively to Cycastle. In the case of processing and developing the entire or part of the SOFTWARE, the intellectual property rights of the newly created work belong to Cycastle, and Cycastle also has the right to resort to any legal means without the need for any warning regarding the concerned parties.

IV – GENERAL PROVISIONS:

  1. In the event of modification or development of this SOFTWARE subject to this contract, these contract provisions shall remain valid unless eliminated by a new contract concluded between the parties.
  2. According to the articles of this License Agreement, all rights (SOFTWARE codes, sales rights, etc.) to this SOFTWARE belong to Cycastle. The end user will only have the license usage right for the SOFTWARE. Unless stated that the usage license of the SOFTWARE is given for a fixed period, a limited period, or a lease license in exchange for payment, it is continuous.
  3. Good faith is essential in the implementation of this contract.
  4. All rights not explicitly granted to the END USER are owned by Cycastle.
  5. Subject to the preservation of other rights, Cycastle may terminate the contract in case of non-compliance with the terms of this agreement.
